Papa John’s “Draft Day” Sweepstakes Official Rules


  1. Eligibility: Papa John’s Draft Day Sweepstakes (the “Sweepstakes”) is open only to legal residents of the fifty (50) United States and the District of Columbia who are at least eighteen (18) years old at the time of entry. Employees of Papa John's USA, Inc., Summit Entertainment, LLC (“Summit”), and each of their respective parent, subsidiary and affiliate companies, and advertising and promotion agencies (the “Promotion Entities”) as well as the immediate family (spouse, parents, siblings and children and their respective spouses, regardless of where they reside) and household members whether or not related, of each such employee are not eligible. The Sweepstakes is subject to all applicable federal, state, and local laws and regulations and is void where prohibited. Participation in the Sweepstakes constitutes entrant’s full and unconditional agreement to these Official Rules and Sponsor’s decisions, which are final and binding in all matters related to the Sweepstakes. Winning a prize is contingent upon fulfilling all requirements set forth herein.

  2. Sponsor: Papa John's USA, Inc., 2002 Papa John's Boulevard, Louisville, KY 40299. Summit is not responsible for the administration of the Promotion, the collection of entries, or the selection of winners.

  3. Timing: The Sweepstakes begins on April 4, 2014 at 12:01 a.m. Eastern Time ("ET") and ends on April 13, 2014 at 11:59 p.m. ET (the "Promotion Period"). Sponsor’s computer is the official time-keeping device for the Sweepstakes.

  4. How to Enter: There are two (2) ways to enter the Sweepstakes:

    Entry Method #1
    To enter via promotional code DRAFTDAY: During the Promotion Period, purchase the Papa John's Double Pepperoni and Bacon limited time offer pizza for $12.00 via online or text order using the promotional code DRAFTDAY After completing a purchase using the DRAFTDAY promotional code, you will automatically gain one (1) entry (“Entry”) into the Sweepstakes. There is no limit on the number of times that the promotional code DRAFTDAY may be used during the Promotion Period, but you can only receive one (1) Entry per day.

    Entry Method #2
    To enter without using the promotional code DRAFTDAY, send an email to and include your name, address, phone number, email address and date of birth. Upon receipt of your email Entry, you will gain one (1) Entry into the Sweepstakes. Limit: One (1) Entry per day. All email entries must be must be sent and received by April 13, 2014 at 11:59 p.m. ET, the end date of the Sweepstakes. Proof of sending or Entry will not be deemed to be proof of receipt by Sponsor. Sponsor is not responsible for lost, late, incomplete, invalid, or misdirected Entries, which will be disqualified.

  5. Limit: Each participant may gain one (1) Entry per day during the Promotion Period, regardless of method of entry. Multiple entrants are not permitted to share the same email address. Any attempt by any entrant to obtain more than the stated number of Entries by using multiple/different email addresses, identities, registrations and logins, or any other methods will void that entrant's Entries and that entrant may be disqualified. Use of any automated system to participate is prohibited and will result in disqualification. In the event of a dispute as to any registration, the authorized account holder of the email address used to enter (“Authorized Account Holder”) will be deemed to be the entrant. The Authorized Account Holder is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. The potential winner may be required to show proof of being the Authorized Account Holder. Odds of winning a Prize depend on the total number of eligible Entries received during the Promotion Period.

  6. Winner Selection and Notification: Potential winners will be selected in a random drawing from among all eligible Entries to be held on or about April 14, 2014. Sponsor’s decisions<p> are final and binding on all aspects of this Sweepstakes. Potential winners will be notified by email or phone on or about April 15, 2014. Sponsor shall have no liability for any winner notification that is lost, intercepted or not received by a potential winner for any reason. Potential winners will be required to sign and return a sworn Affidavit of Eligibility, and Liability and Publicity Release, except where prohibited. If required documentation is not returned within two (2) business days of notification, or if notification is returned as undeliverable, any prize will be forfeited and an alternate winner may be selected by random drawing. No prize substitution or transfer is permitted, except that Sponsor reserves the right to substitute a prize of equal or greater value (including cash, at Sponsor’s sole discretion) for any reason. Sponsor is required by law to report prize values to taxing authorities; all taxes and any other incidental expenses on prizes are solely the responsibility of each winner.

    Acceptance of any prize shall constitute and signify each winner’s agreement and consent that Sponsor and its designees may use the winner’s name, city, state, likeness, Entry and/or prize information in connection with the Sweepstakes for promotional, advertising or other purposes, in any manner, worldwide, in any and all media now known or hereafter devised, including the Internet, without limitation and without further payment, notification, permission or other consideration, except where prohibited by law. Without limiting the generality of these Official Rules, each winner shall irrevocably grant, transfer, convey and assign to Sponsor the entirety of the rights in and to the Entry and all renewals and extensions of copyright, and the right to secure copyright registrations thereto in perpetuity including, without limitation, the rights to use the Entry for any and all purposes in any and all media whether now known or hereafter developed, on a worldwide basis, in perpetuity. Each winner accepts and acknowledges that Sponsor shall not be obligated to use the Entry and that Sponsor in its sole discretion shall have the right to refrain from using the Entry. Sponsor shall not incur any liability whatsoever to the extent Sponsor chooses to refrain from any exploitation of its rights hereunder. Each winner will indemnify the Released Parties, as defined below, against all claims, damages, liabilities, and expenses (including attorneys’ fees and legal expenses) arising out of any breach of these terms.

  7. Prizes: Three (3) Grand Prizes are available. The Grand Prize consists of: thirty (30) movie theater tickets or passes to see the motion picture “Draft Day” at a theater near the winner's home, selected by Sponsor or its designee in its sole discretion. Approximate Retail Value (“ARV”) of each Grand Prize: $360. ARV of all prizes: $1080. Prizes are non-transferable and no substitution will be made except as provided herein at the Sponsor’s sole discretion. Sponsor reserves the right to substitute a prize for one of equal or greater value if the designated prize should become unavailable for any reason. The Grand Prize does not include travel, taxes, incidentals or any other item not expressly mentioned herein. In the event the winner and/or his or her guest(s) engage in behavior that, as determined by Sponsor and/or theater venue in its sole discretion, is obnoxious or threatening, illegal or that is intended to annoy, abuse, threaten or harass any other person, Sponsor and/or theater venue reserve the right to remove the winner and guests from the venue with no further compensation, and in such a case, the winner will still be solely responsible for all taxes and other expenses relating to the prize. Winner and guests must comply with the theater venue’s rules of conduct. Winner’s and his or her guest’s seat assignments may be designated by Sponsor and/or the theater venue. Theater venue seating is subject to availability. Tickets will not be refundable or redeemable for cash or credit at any time, nor will they be replaced if lost or stolen. “Draft Day” is scheduled for theatrical release on April 11, 2014. “Draft Day” has been rated PG-13 for brief strong language and sexual references by the Motion Picture Association of America, so that should be taken into account in compiling the guest list, and if the group includes a minor, then the group must be accompanied by an adult or otherwise attend pursuant to the permission of any such minor’s parent or legal guardian in form and substance acceptable to Sponsor in its sole and absolute discretion. The Grand Prize winner must provide Sponsor with valid identification and a valid taxpayer identification number or social security number before the Grand Prize will be awarded. Limit: one (1) prize per person. All prize details are at Sponsor’s sole discretion.

    For all Awards: Awards are non-transferable and no substitution will be made except as provided herein at the Sponsor’s sole discretion, and only one award promotional code may be redeemed per online account. Award promotional code will expire on Sunday, March 10, 2013. Sponsor is not responsible for lost, undeliverable, and unopened email. Sponsor reserves the right to substitute the award promotional code for one of equal or greater value at Sponsor’s sole discretion. Award recipient is responsible for all fees, applicable taxes and delivery charges associated with the use of the award promotional code. Limit: One (1) award promotional code per person or email address. Limit four (4) award promotional codes per household. Award promotional code may not be combined with any other coupon or offer.

  8. Release: By entering , entrant agrees to release and hold harmless the Promotion Entities, and their respective suppliers, distributors, and each of their respective officers, directors, employees and agents (collectively, the "Released Parties") from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, arising out of participation in the Sweepstakes or receipt or use or misuse of any prize (including any travel or activity related thereto).

  9. General Conditions: Sponsor reserves the right to cancel, suspend and/or modify the Sweepstakes, or any part of it, if any fraud, technical failures, human error or any other factor impairs the integrity or proper functioning of the Sweepstakes, as determined by Sponsor in its sole discretion. If terminated, Sponsor may, in its sole discretion, determine the winners from among all non-suspect, eligible Entries received up to time of such action using the judging procedure outlined above. Sponsor, in its sole discretion, reserves the right to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of the Official Rules of this or any other promotion or in an unsportsmanlike or disruptive manner and void all associated Entries. Any attempt by any person to deliberately undermine the legitimate operation of the Sweepstakes, or to annoy, abuse, threaten or harass any other person, may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages and other remedies (including attorneys’ fees and legal expenses) from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. In the event an insufficient number of eligible Entries are received and/or Sponsor is prevented from awarding prizes or continuing with the Sweepstakes as contemplated herein by any event beyond its control, including but not limited to fire, flood, natural or man-made epidemic of health of other means, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal state or local government law, order, or regulation, public health crisis, order of any court or jurisdiction, or other cause not reasonably within Sponsor’s control (each a “Force Majeure” event or occurrence), then subject to any governmental approval which may be required, Sponsor shall have the right to modify, suspend, extend or terminate the Sweepstakes. If the Sweepstakes is terminated before the designated end date, Sponsor will (if possible) select the winner in a random drawing from all eligible, non-suspect Entries received as of the date of the event giving rise to the termination. Inclusion in such drawing shall be each entrant’s sole and exclusive remedy under such circumstances. Only the type and quantity of prizes described in these Official Rules will be awarded. These Official Rules cannot be modified or amended in any way except in a written document issued in accordance with law by a duly authorized representative of Sponsor. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.

  10. Limitations of Liability: Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by entrant, printing, typographical or other errors or by any of the equipment or programming associated with or utilized in the Sweepstakes; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software, or lost, interrupted or unavailable network, server, internet Service Provider (“ISP”), website or other connections, availability or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed or misdirected transmissions; (3) unauthorized human intervention in any part of the Entry process or the Sweepstakes; (4) other errors or problems of any kind relating to or in connection with Sweepstakes, whether, printing, typographical, technical, mechanical, computer, human or otherwise, including but not limited to, errors or problems which may occur in the administration of the Sweepstakes or the processing of Code request, Entries, plays or price claims, the announcement of the prizes or in any Sweepstakes-related materials.; (5) late, lost, undeliverable, damaged incomplete, inaccurate, delayed, or misdirected Entries; or (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Sweepstakes or receipt or use or misuse of any prize (including any travel/activity related thereto). Released Parties are not responsible for misdirected or undeliverable Entries or for any technical problems, malfunctions of computer systems, servers, providers, hardware/software, lost or unavailable network connections or failed, incomplete, garbled or delayed computer transmission or any combination thereof. Released Parties are not responsible for any unauthorized third-party use of any Entry.


  11. Disputes: Except where prohibited, entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Western District of Kentucky or the appropriate Kentucky State Court located in Jefferson County, Kentucky; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes, and in no event will entrant be permitted to obtain attorneys’ fees or other legal costs; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the Commonwealth of Kentucky without giving effect to any choice of law or conflict of law rules (whether of the Commonwealth of Kentucky or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the Commonwealth of Kentucky.

  12.
